Terms of Service
The terms for using Styrra. The service is decision support for businesses. You make, and are responsible for, every bookkeeping decision.
1. Parties and scope
These terms apply between Styrra AB, reg. no. [organisationsnummer], [adress, postnummer, ort] ("Styrra", "we") and the company, association or sole trader that creates an account or otherwise uses the service ("Customer", "you").
The service is for professional use only and must not be used by consumers. Whoever registers represents that they are authorized to bind the Customer.
These documents form the agreement and, in case of conflict, apply in this order: the Data Processing Agreement (DPA), the special Partner terms (section 17), these terms, the AI and Acceptable Use Policy, and the Privacy Policy (as information).
2. What Styrra is, and what it is not
Styrra is a software service that uses artificial intelligence (AI) to read documents and data in the Customer's accounting system, prepare proposals, answer questions and, after the Customer approves, transfer vouchers and other entries to the accounting system or to a SIE4 file.
Styrra is decision support and a tool. Styrra is not, and does not hold itself out as:
- an accounting consultant, authorized or approved auditor, tax adviser, lawyer or financial adviser,
- a service that takes over the Customer's obligations under the Swedish Bookkeeping Act (1999:1078), the Annual Accounts Act, tax legislation or any other law,
- a guarantee that any bookkeeping, tax return, VAT filing or report is correct, complete or accepted by an authority.
Phrases such as "AI finance team" in marketing describe what the tool does. They create no engagement, no advice and no assumption of responsibility.
3. Customer's responsibility for bookkeeping and decisions
Responsibility for bookkeeping, closing of accounts, annual reports, taxes, fees, returns and other financial reporting rests with the Customer and its board, management and authorized representatives. It cannot be transferred to Styrra.
Styrra never posts anything to the Customer's accounting system unless an authorized user at the Customer has reviewed and approved the proposal. The approval is the Customer's own decision and the Customer's instruction to Styrra to perform that specific action. The Customer is responsible for:
- reviewing amounts, accounts, VAT codes, period, counterparty and source documents before approving,
- ensuring only authorized people can approve, and that approval rules and amount limits in Styrra are appropriate,
- ensuring uploaded or connected material is accurate, genuine and lawfully available to the Customer,
- verifying results, reconciliations and reports against source documents before using them in decisions, tax returns or external reporting,
- retaining accounting records as the law requires. Styrra is not the Customer's archive of accounting information; the accounting system, and where needed a SIE4 export, is the primary record.
Every approval, rejection and acknowledgement is stored with user, time and the version of the terms in a traceable audit log. The Customer accepts that the log is evidence of what was approved.
4. Artificial intelligence and its limits
Styrra's answers and proposals are generated by language models. Such models can produce incorrect, incomplete or outdated answers, invent facts or sources ("hallucinations"), misread documents and answer the same question differently. This cannot be ruled out.
Answers about laws, taxes, VAT, employer contributions and accounting rules are general information, not advice, and may be out of date. Always check the cited source and, when amounts or risks are significant, an auditor, accounting consultant or other qualified adviser.
Text in documents, email and PDF files is treated as untrusted content and cannot change Styrra's permissions, rules or payees. No technical safeguard can promise complete protection against manipulated content, so review payees, account numbers and amounts with particular care.
The service's output is provided without warranty except as expressly stated in section 11. Also read the AI and Acceptable Use Policy.
5. Account, users and security
The Customer is responsible for its users, for keeping credentials secret and for all activity under the Customer's accounts. Suspected unauthorized access must be reported to us immediately.
Connections to accounting systems (for example Fortnox, Bokio) use the Customer's own authorization and can be revoked by the Customer at any time in the accounting system or in Styrra. The Customer is responsible for having the right to connect the system and for its agreement with the accounting system provider permitting the connection.
We may temporarily suspend access on suspicion of misuse, security threats, unlawful use or non-payment.
6. Acceptable use
The Customer shall follow the AI and Acceptable Use Policy. The service must not be used for fraud, tax evasion, money laundering, false or backdated vouchers, circumventing approval or permission rules, or processing data the Customer has no right to process.
The Customer is responsible for, and shall hold Styrra harmless from, third-party claims, regulatory sanctions and costs arising from the Customer's use in breach of these terms, the Customer's source material, or the Customer lacking the right to upload or connect the data. This indemnity does not apply to the extent the claim results from Styrra's gross negligence or intent.
7. Prices, AI credits and payment
Current prices and what is included are shown on the pricing page and in Styrra. AI credits are consumed when the service performs work; they are not money, cannot be redeemed and have no value outside the service. Unused credits expire as stated for each plan.
Payment is processed through Stripe. Prices exclude VAT. On non-payment we may suspend or downgrade the account after written notice. We may change prices on at least 30 days' notice before the next billing period; the Customer may then terminate.
8. Rights and Customer data
Styrra owns the service, the software and the brand. The Customer gets a non-exclusive, non-transferable right to use the service during the term.
The Customer owns its data and material ("Customer Data") and grants us the right to process it as needed to provide the service, in accordance with the DPA. We do not use Customer Data to train our own or third-party AI models. We may create de-identified, aggregated statistics about use and performance.
The Customer may export its data during the term and for 30 days after termination. After that Customer Data is deleted in accordance with the DPA, except data we are required by law to keep, and the audit log, which is kept as long as needed to show what was approved.
9. Availability, changes and third-party services
We aim for high availability but do not guarantee uninterrupted or error-free operation. Planned maintenance is announced where reasonable. We may change, improve or retire features; if a paid feature is materially degraded, the Customer may terminate and receive a refund of prepaid, unused time.
The service relies on third-party systems including accounting systems, cloud infrastructure, payment providers and AI models. We are not liable for outages, changes, errors or data incidents at such third parties beyond our reasonable control, or for an accounting system rejecting, altering or rate-limiting an entry. The Customer is responsible for checking that an entry arrived correctly in the accounting system.
Beta and preview features are provided as is and must not be the sole basis for bookkeeping or reporting.
10. Disclaimer
To the extent permitted by law, the service and all AI-generated information are provided "as is". We give no warranties, express or implied, that the service or its results are error-free, complete, current, fit for a particular purpose or accepted by an authority, or that the service meets the requirements of the Bookkeeping Act or any other law in the Customer's particular situation.
11. Liability and limitation
This section applies to the extent permitted by mandatory law.
a) Cap. Styrra's total aggregate liability to the Customer for all damages under the agreement, whatever the legal basis (including contract, warranty, tort and negligence), is limited to the higher of (i) the fees the Customer has paid to Styrra in the twelve months preceding the first event giving rise to the damage and (ii) SEK 10 000.
b) Excluded losses. Styrra is not liable for indirect or consequential loss, such as lost profit, revenue or savings, loss of goodwill, production loss or costs of replacement work. Whether the loss is considered direct or indirect, Styrra is also not liable for tax surcharges, late-filing fees, control fees, penalty charges, interest or fines imposed on the Customer, for costs of audit, recalculation, correction, restatement of earlier periods or rework of bookkeeping, or for loss resulting from the Customer having approved a proposal, relied on an answer without checking it or disregarded a warning in the service.
c) Data loss. The Customer is responsible for accounting records being held in the accounting system and for having backups. Styrra's liability for lost or corrupted data is limited to the reasonable cost of restoring data from Styrra's most recent backup.
d) Contributory fault. Compensation is reduced to the extent the loss results from the Customer's own acts or omissions, including not reviewing a proposal or not mitigating the loss.
e) Time limits. Claims must be notified in writing with a description of the loss within 60 days after the Customer discovered or should have discovered it, and legal proceedings must be commenced within twelve months after the first event giving rise to the loss. Otherwise the Customer loses its right to compensation.
f) What is not limited. The limitations do not apply to loss caused by intent or gross negligence, to personal injury, or to liability that cannot be limited under mandatory law, including liability towards data subjects under Article 82 GDPR. Between the parties, the liability rules in the DPA apply.
g) The parties have negotiated the allocation of risk and price and agree that the limitation is reasonable having regard to the price of the service, the Customer's full control over every bookkeeping decision, and the availability of insurance.
12. Force majeure
We are relieved from liability for failing to perform if it is caused by circumstances beyond our reasonable control, such as war, government action, power failure, widespread internet or cloud outages, outage or change at an AI provider, accounting system or payment provider, a cyberattack that succeeds despite reasonable security measures, or industrial action.
13. Confidentiality
Each party shall keep the other's non-public information confidential and use it only to perform the agreement. This does not apply to information that is public, lawfully obtained otherwise, or required to be disclosed by law or authority. The obligation lasts five years after termination, and for personal data and accounting records for as long as we hold them.
14. Term and termination
The agreement runs until further notice. The Customer may terminate at any time in Styrra or by email; the paid period runs out. We may terminate on 30 days' notice, or immediately for material breach, misuse or where the law requires. Sections 3, 4, 6, 8, 10, 11, 13 and 18 survive termination.
15. Changes to the terms
We may change the terms. Material changes are announced in the service or by email at least 30 days in advance, and the Customer may terminate before they take effect. Continued use after the effective date, and for a new version of the terms a fresh acknowledgement in the service, constitutes acceptance. Which version the Customer accepted, and when, is recorded.
16. Personal data
When we process personal data in Customer Data, the Customer is controller and Styrra is processor. The Data Processing Agreement (DPA) forms part of the agreement and is accepted by accepting these terms. For account and billing data about the Customer's users, Styrra is controller; see the Privacy Policy.
17. Special terms for Partners (accounting firms)
These terms apply if the Customer uses Styrra on behalf of its own clients as an accounting firm or accounting consultant ("Partner").
- The Partner alone is responsible to its clients for the engagement, advice and delivery. Styrra has no contract with the Partner's clients and owes them no liability.
- The Partner represents that it has the client's mandate and the right to connect the client's accounting system and process the client's data in Styrra, and that its engagement terms permit AI tools and sub-processors.
- The Partner is processor to its clients and Styrra is sub-processor. The Partner is responsible for having a valid processing agreement with each client that permits Styrra as sub-processor, and for that agreement not giving the client greater rights against Styrra than the DPA gives the Partner.
- The Partner shall hold professional liability insurance appropriate to its business and, as a professional, retains responsibility for reviewing results before delivering them to a client. The Partner is responsible for good accounting practice and other professional rules applicable to it.
- The Partner shall hold Styrra harmless from claims by the Partner's clients or others based on the Partner's engagement, unless the claim results from Styrra's gross negligence or intent.
18. Governing law and disputes
Swedish law applies, without regard to its conflict of law rules. Disputes shall be settled by the Swedish general courts with the Stockholm District Court as court of first instance. The parties shall first attempt in good faith to resolve a dispute by negotiation for at least 30 days, unless urgent relief is needed.
